Affiliate Terms of Service
This Affiliate Marketing Program Terms of Service is entered into by and between AMB Sells, and the individual or entity agreeing to these terms. This Agreement governs Affiliate’s participation in the Company’s affiliate marketing program. By enrolling in the Program, Affiliate agrees to comply with and be bound by the terms and conditions set forth in this Agreement.
- Enrollment in the Program
1.1 Eligibility: Affiliate must meet the eligibility requirements set forth by the Company, which may include, but are not limited to, the requirement to have a functioning website or social media account relevant to the Company’s products or services.
1.2 Enrollment: Affiliate may apply to join the Program by completing the Company’s application process. The Company reserves the right to approve or reject any application in its sole discretion.
- Affiliate’s Obligations
2.1 Promotion: Affiliate agrees to promote the Company’s products or services using the marketing materials provided by the Company. Affiliate shall not engage in any deceptive, illegal, or unethical marketing practices.
2.2 Compliance: Affiliate shall comply with all applicable laws, regulations, and industry standards, including but not limited to those related to advertising and marketing.
2.3 Brand Guidelines: Affiliate shall adhere to the Company’s brand guidelines and may not use the Company’s trademarks or copyrighted materials without prior written consent.
2.4 Compensation: Affiliate’s compensation, if any, shall be as set forth in a separate compensation agreement, which shall be incorporated by reference into this Agreement.
- Company’s Obligations
3.1 Tracking and Reporting: The Company shall provide Affiliate with tracking links and access to reports to track referrals and commissions earned.
3.2 Payment: The Company shall pay Affiliate commissions in accordance with the compensation agreement. Payments may be subject to minimum payout thresholds and may be made on a regular schedule or as otherwise agreed upon.
- Termination
4.1 Termination for Cause: Either party may terminate this Agreement at any time for cause, including, but not limited to, a breach of this Agreement or engaging in fraudulent activities.
4.2 Termination without Cause: Either party may terminate this Agreement without cause by providing written notice to the other party.
- Confidentiality
Both parties agree to keep confidential any non-public information provided by the other party in connection with the Program.
- Indemnification
Affiliate agrees to indemnify and hold the Company harmless from any claims, damages, or liabilities arising out of Affiliate’s participation in the Program or any breach of this Agreement.
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India.
- Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
- Amendments
The Company reserves the right to modify this Agreement at any time, and such modifications shall be effective upon posting on the Company’s website. Affiliate’s continued participation in the Program after such modifications shall constitute acceptance of the modified terms.
- Contact Information
Any notices or communications required or permitted under this Agreement shall be in writing and sent to the respective party’s contact information as provided.
By enrolling in the Program, Affiliate acknowledges that they have read, understood, and agreed to all the terms and conditions set forth in this Agreement.
